Dear Clients and Friends,
As part of the services provided by our corporate practice area, we hereby inform you of the duty to file the quarterly update report before the Economy Ministry, through the National Registry of Foreign Investments (“RNIE”); this office registers and keeps track of the foreign capital that enters the country through any person or company that performs commercial acts. The abovementioned, regardless of the obligation to file the Annual Economic Report, for any Mexican company that has foreign capital.
The aforesaid notices shall be filed during the following 10 working days after the end of each trimester (January-March, April-June, July-September, and October-December), if during said quarter any of the following actions took place:
• Amendments to the corporate name, address, or to their economic activity;
• Amendments to the social capital and/or the equity/capital structure, if related to a foreign person or company’s shares or equities;
• Changes to any of the following accounts:
o Receivables to foreign entities part of the corporate group;
o Payables to foreign entities part of the corporate group;
o Contributions for future capital increases, capital reserve or the results of previous fiscal years.
The herein informed, applies only if the amendments and/or modification implies movements valued over $20’000,000.00 (twenty million Mexican pesos 00/100).
Thereof, if the obligation to file said notice is born due to any corporate movements performed on this quarter (January-March), said filing shall be complied before April 14, 2020.
Even though the objective of these notices is purely informative and for statistics, failing to comply may result on the imposition of a fine that goes from 30 up to 100 daily wages. Thus, if it is your Company’s duty to file the notice, we will be pleased to either asses or aid you to comply with its filing.
